TERMS OF SERVICE FOR VISITORS TO THE WWW.SHERWOOD.COMPANY WEBSITE

Introduction

These Terms of Service (“Terms”) govern your access to and use of www.sherwood.company (the “Site”**) and any related tools, calculators, listing search, forms, or content made available on or through the Site (collectively, the “Services”**), operated by Blake Sherwood Consulting, LLC d/b/a Sherwood & Company (“Sherwood & Company,” “we,” “us,” or “our”), a real estate team affiliated with Compass Massachusetts, LLC d/b/a Compass. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Eligibility

• The Services are not intended for use by children under 18 years of age. By using the Site, you represent that you are at least 18 years old.

2. Description of the Services

• The Site is an informational and marketing resource for real estate buyers, sellers, and renters in the markets Sherwood & Company serves. Depending on the page, the Services may include:

  • General content about neighborhoods, market conditions, and the buying/selling process (including our “Real Estate Explained” and Blog sections);
  • Property listing search (including through our IDX-powered search tool at search-sherwood.company), which displays real estate listing data sourced from one or more Multiple Listing Services (“MLS”);
  • Estimate tools, such as our Home Valuation tool, Seller Net Sheet Calculator, Buyer Closing Costs Calculator, and Property Tax Comparator;
  • Contact and lead forms through which you can request information or reach a member of the Sherwood & Company team; and
  • Career and recruiting information for prospective agents.

• We may add, change, or discontinue any part of the Services at any time without notice.

3. No Brokerage Relationship Created by Site Use

• Browsing the Site, using a calculator or search tool, or submitting a contact form does not, by itself, create a brokerage, agency, or fiduciary relationship between you and Sherwood & Company or Compass. A brokerage relationship is only formed as described in a separate written agreement or as otherwise required and disclosed under Massachusetts real estate law.

4. Real Estate Listing Information (IDX/MLS Data)

• Listing information displayed on the Site, including through our IDX-powered search tool, is compiled from sources — including participating MLS(s) and listing brokers — that we believe to be reliable, but it is not guaranteed and is subject to errors, omissions, changes in price, condition, sale, or withdrawal without notice.
• No statement is made as to the accuracy of any description. All measurements and square footages are approximate.
• Listing data is provided for consumers’ personal, non-commercial use and may not be used for any purpose other than to identify prospective properties consumers may be interested in purchasing or renting. Reproduction, scraping, or redistribution of listing data in bulk, or use of automated means to extract listing data from the Site, is prohibited.
• This Site is not intended to solicit property that is already listed with another broker.
• Listings displayed may be held by brokerage firms other than Sherwood & Company and Compass; where required, we will identify the listing broker.

5. Estimate Tools Are Not Appraisals or Guarantees

• Our Home Valuation tool, Seller Net Sheet Calculator, Buyer Closing Costs Calculator, Property Tax Comparator, and any similar tools generate automated, algorithm-based estimates for general informational purposes only. They are not appraisals, comparative market analyses prepared by an agent, loan estimates, or guarantees of any sale price, net proceeds, closing cost, or tax amount. Actual figures will vary. You should not rely on these tools as a substitute for an appraisal, a written analysis from a Sherwood & Company agent, or advice from a qualified lender, accountant, or attorney.

6. Fair Housing

• Sherwood & Company and Compass Massachusetts, LLC d/b/a Compass abide by all applicable federal, state, and local fair housing and equal opportunity laws. We do not discriminate on the basis of race, color, religion, sex, national origin, familial status, disability, sexual orientation, gender identity, source of income, or any other characteristic protected by law.

7. No Professional Advice

• All material presented on the Site is intended for informational purposes only. Nothing on the Site shall be construed as legal, tax, accounting, financial, or other professional advice outside the realm of real estate brokerage. You should consult your own attorney, accountant, lender, or other qualified professional regarding your specific situation.

8. Communications; Consent to Contact

• By submitting a form on the Site or otherwise providing your contact information, you agree to receive marketing and customer-service calls and text messages from Blake Sherwood Consulting, LLC d/b/a Sherwood & Company, including calls or texts made using an automatic telephone dialing system or prerecorded voice. Consent is not a condition of purchase. Message and data rates may apply, and message frequency varies. You may opt out of text messages at any time by replying STOP. 9. Intellectual Property

• The Site and its content — including text, graphics, logos, photographs, the Sherwood & Company name and marks, and the compilation and organization of Site content — are owned by or licensed to Sherwood & Company and are protected by copyright, trademark, and other intellectual property laws. The Compass name and logo, and the REALTOR®, MLS, and Equal Housing Opportunity marks, are used under license or with permission of their respective owners.
• You may view and print Site content for your own personal, non-commercial use in connection with evaluating our Services. You may not reproduce, distribute, modify, or create derivative works from Site content for any other purpose without our prior written consent.
• If you believe content on the Site infringes your copyright, please contact us with (a) a description of the copyrighted work, (b) the location of the material on the Site, and (c) your contact information, and we will investigate.

10. User Submissions

• If you submit a testimonial, review, question, photo, or other content to us through the Site (other than personal information covered by our Privacy Policy), you grant Sherwood & Company a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, edit, and display that content in connection with operating and promoting our business, and you represent that you have the right to grant that license. Please do not submit anything you consider confidential through a public-facing form.

11. Prohibited Uses

• You agree not to: (a) use the Site for any unlawful purpose or in violation of these Terms; (b) scrape, harvest, or use automated means to extract data (including listing data) from the Site; (c) attempt to gain unauthorized access to the Site, our systems, or any account; (d) interfere with or disrupt the Site’s operation, including introducing malware; (e) misrepresent your identity or affiliation; or (f) use the Site to send unsolicited advertising or spam.

12. Third-Party Links and Services

• The Site may link to, or integrate with, websites and services operated by third parties, such as our IDX listing search at search-sherwood.company, social media platforms, and analytics providers. These links and integrations are not an endorsement of, and do not indicate an affiliation with, the third party, except as otherwise disclosed. We do not control and are not responsible for the content, accuracy, or practices of third-party sites or services.

13. Disclaimer of Warranties

• THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LISTING DATA, ESTIMATE, OR OTHER CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

14. Limitation of Liability

• TO THE FULLEST EXTENT PERMITTED BY LAW, SHERWOOD & COMPANY, COMPASS, AND THEIR RESPECTIVE OWNERS, AGENTS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
• Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

15. Indemnification

• You agree to indemnify and hold harmless Sherwood & Company, Compass, and their respective owners, agents, and employees from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

16. Governing Law; Dispute Resolution

• These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles.
• Before filing a claim, you agree to first contact us to attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts, and you consent to personal jurisdiction and venue there.

17. Changes to These Terms

• We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the “Last Updated” date and posting the revised Terms on this page. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

18. Termination

• We may suspend or terminate your access to all or part of the Site at any time, without notice, for any reason, including violation of these Terms.

19. Miscellaneous

• If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sherwood & Company regarding the Site.**
